It provides an example of the kind of behavior that courts have taken as sufficient to condemn a monopoly position of under the Sherman act. Further, in giving his opinion, Judge Charles E, Wyzanski, Jr. provided a succinct summary of the development of the law under section 2. The united shoe machinery corporation was formed in 1899 by a merger that combined seven previously independent firms. The government challenged this merger under the Sherman act, but in a 1918 decision the Supreme Court declined to find a violation. From that point on, united shoe machinery dominated the U.S. market for machines used to manufacture shoes.<span id="more-140"></span></p>
<p style="text-align: justify;">At the time of the 1953 case, shoe manufacture involved 18 separate processes. Although united shoe machinery faced some competition in the manufacture or machines for individual processes, it was the only company in the United States that marketed a complete line of machines. Many of the machines were protected by patents. United shoe machinery had 75 to 85 per cent of the U.S. shoe machinery market.</p>
<p style="text-align: justify;">The major machines were leased to costumers but not sold. The leases ran for 10 years. Judget hand followed the rule of standard oil: monopoly obtained or maintained by normal methods of industrial development does not constitute a violation of the Sherman act. But the evidence upon which judge hand relied for a showing of intent to monopolize – Alcoa’s continual expansion of capacity in anticipation of demand – raises more questions than it settles. If such conduct is evidence of intent to exclude, few firms with a position of market power can avoid being found guilty under the antitrust laws. This standard – which was later endorsed by the Supreme Court – seems to reserve the lenient attitude toward dominant firms taken in U.S. steel.</p>

Ladies hairdressing is something that is very seldom done at home nearly always at a salon, thus the market is virtually any woman within the area of a salon. Prices is important as well as the competence of the operators. Satisfied customer will bring new clients to a salon.</p>
<p style="text-align: justify;">A small local salon such as that proposed for JANLEE STYLES, will cater for ladies hairdressing needs in the area, it is not intended to introduce general beauty care (facials, waxing, nails, etc) unless it is seen that an opportunity <span id="more-67"></span>exists. The salon will concentrate on hair care and consider beauty care services if or when appropriate.</p>
<p style="text-align: justify;">Proper hairdressing is based on the training ad experience of the operator. Attendance at a recognize school is important and work experience at a well known salon is desired to build customer confidence. If an operator moves to another salon within an area some regular customer may choose to follow and set the clientele foundation. Unless an area is growing with people moving in the customer base is frequently dependent on changes from other area salons. Once satisfied, a customer will usually remain, but promotion is needed when opening to invite those who may not be happy with present salons to try the new one.</p>
<p style="text-align: justify;">Even a small local salon must offer comfortable surrounding for client and quality product with the services. The expensive furnishings found in top market city salons are not needed.</p>

On weekends, shopping and transit traffic can buy form FOODAWAY as it is conveniently located to obtain snacks and take away.</p>
<p style="text-align: justify;">The present owners of the business started it two years ago and have built a reasonable trade. Do to the family illness the were not always able to keep enough staff at peak periods and couldn’t deal with all the customers, so some<span id="more-36"></span> business would go to the other shop in the area although it is not as new or well located. Many customers would return to the FOODAWAY style shop if changes are made.</p>
<p style="text-align: justify;">The food service products are to be sandwiches, hot food: hamburgers, chips, pies, etc and roast chicken as a portion pack with chips (good for dinner take away) and whole chicken. The present owners do not have the roast chicken specialty nor do they promote the business in the area. Chicken is popular for lunch specialty sandwiches; portion pack and evening take away. With the usual takeaway foods, addition of a range of roast chicken products will give food away new variety for the area and cater for a 7 day market. There is no immediate benefit in organizing a partnership or registering a company for the purpose of running the business.</p>

On average, people eat out at least three <span id="more-31"></span>times per week which is still half the average of other major industrialized countries. Lunch food service is widely accepted, with most office staff, and many factory workers, buying their mid day meal from fast food businesses rather than bringing lunches from home. The trade is accustomed to sandwiches and specialty food selections at the peak mid day period. A good location is important for success.</p>
<p style="text-align: justify;">Take home evening meals are increasingly popular with office, transit and holiday trade if the location is good and food selection is varied. It is also important to have serving staff with pleasant attitudes that make customers feel comfortable –they will return frequently. Once customers find that they like the business, staff and food selection, they become regular and bring other customers by word of mouth. Local advertising is useful if new business management and specialties are introduced. It also helps to increase local lunch trade if commercial offices with new employees are in the area.</p>

<p style="text-align: justify;">Both Peter and Elinda Rossi are children of immigrants (Italian and Spanish respectively) and are acquainted with the fast food industry. Shortly after emigration, the Rossi family started a convenience store including fast food service; the business is still active and profitable in its area. Peter Rossi was involved with the family business as a youth and was active in it until leaving to take a job will the state Roads Department as a maintenance worker, advancing to driver with 15 years service in that position.</p>
<p style="text-align: justify;">Mrs. Rossi was employed in retail department store sales prior to marriage and commencing a family. She has worked part time during the past four years to help save for the business purchase. The Rossi children 13 and 15 years of age will assist with the shop services.</p>
<p style="text-align: justify;">The peak service periods, work week midday will require casual labor assistance. Staff will be available for the need as well as providing absence time for the Rossi family when appropriate. It is understood and accepted that the business is a day 7 activity.</p>
<p style="text-align: justify;">Starting the FOODAWAY business has been planned for sometime. The important location factor and the need for sufficient purchase price finance have been agreed family priorities for several years. Peter Rossi’s experience in the fast food industry and the family wish to establish an independent business, contributed to the decision to prepare for the step when possible. The vendor’s decision to sell the shop that will be obtained by the Rossi’s is a result of personal events, not the value or prospects of the shop.</p>
